Terms and Conditions

  1. Domestic (USA) - Payment in full is due NET 30 days from date of delivery on approved Purchase Order. An invoice will be faxed and mailed on the date of shipment. PAYMENT IS DUE WITHIN THIRTY (30) DAYS AFTER THE DATE OF INVOICE (“DUE DATE”).  FOR EACH 30-DAY PERIOD, OR PARTIAL PERIOD, BEYOND THE DUE DATE THAT PAYMENT IN FULL IS NOT RECEIVED BY MESI, CUSTOMER SHALL INCUR A LATE FEE IN THE AMOUNT OF TEN PERCENT (10%) OF THE BALANCE DUE FOR EACH SUCH 30-DAY PERIOD OF PARTIAL PERIOD THAT THE BALANCE REMAINS UNPAID.

  2. International - Payment in full is required in advance either by wire transfer or by certified bank check. An invoice will be mailed on the date of shipment.

  3. All Object code Components are sold at the prices listed in the current price schedule with no recurring royalty for single-channel static memory systems. System products products may have additional "paid up" or per-channel fees based upon application and volume. Please contact MESi for a quote for DLL, System, and Source Code products.

  4. Product is shipped as an encrypted file download, or alternatively as an email file attachment to the address specified in your Purchase Order. The decryption key is provided either by voice, fax, or postal mail. A floppy disk can also be shipped upon request. You will need to indicate your acceptance of the license terms and restrictions of the MESi "End User License Agreement and Warranty" before gaining access to any MESi Products.

  5. Support - MESi will provide phone and/or email technical support for product integration and useage for a period of one (1) year from the date of the first product delivery. This support includes direct assistance with understanding product operation, interfaces, and applications as described in the User Manual and demonstration programs provided, and may include the provision of examples and/or code snippets as deemed appropriate. This support obligation does not include any on-site support and does not cover the development and/or analysis of any software or algorithms on the customer's behalf. Customers are discouraged from providing any of their application software and/or physical property to MESi for any purpose without prior written approval.

  6. New releases are shipped upon request for the one year period after the date of purchase. Interim releases are shipped upon request or in response to a bug detection and repair, and Source Code may contain upgrade, bug-fix, and debugging banners or clutter.

  7. MESi provides support for current releases only. We will gladly re-ship your previous release(s) upon request, but you must revise your build to the current release to receive assistance.

  8. Object Code purchasers can receive a full credit for their Object Code against the purchase price of corresponding Assembly or C Source products for a period of ninety (90) days from the date of purchase. Thereafter, the full price applies for all products unless other arrangements have been made in writing.

  9. Object Code products are built using default configurations for all processors to operate in their native small memory model condition. Objects Code products can be purchased for alternate memory models (such as Texas Instruments 'C54x FAR and FAR-C models) for an additional fee of 15%.
